Arbitration

Any such controversy or claim will be arbitrated on an individual basis, and will not be consolidated in any arbitration with any claim or controversy of any other party.

Judgment on the arbitration award may be entered into any court having jurisdiction thereof. EvergreenDimes.com or you may seek any interim or preliminary relief from a court of competent jurisdiction necessary to protect EvergreenDimes.com’s or your rights or property pending the completion of arbitration. Each party will bear half the arbitration fees and costs.

Limited License

Nothing contained on this Site should be understood as granting you a license to use any of the trademarks, service marks, or logos owned by EvergreenDimes.com or by any third-party. Your use of the Site, Content, and services is solely for internal, personal, noncommercial purposes unless otherwise provided for in this Agreement. Membership Eligibility and Registration

Member Conduct

Members may post their content to our Site through our services. If any Member Content is reported to EvergreenDimes.com as being offensive or inappropriate, we may ask the Member to retract or otherwise modify the questionable content within 24 hours of being notified by EvergreenDimes.com. If the Member fails to meet such a request, EvergreenDimes.com has full authority to restrict the Member’s ability to post Member Content OR to immediately terminate the Member’s membership without further notice to the Member.

Without limiting the foregoing, we have sole discretion to remove any Member Content that violates this Agreement or that is otherwise objectionable in our sole discretion. Members are responsible for complying with all applicable federal and state laws for their content, including copyright and trademark laws. Members will respect copyright and trademark laws.

You warrant that you will not use our services to infringe on the intellectual property rights of others in any way. In accordance with the DMCA and other applicable law, we have adopted a policy of terminating Members whom we deem, in our sole discretion, to be infringers of others’ intellectual property rights.

Membership Termination

Your membership with us is effective until terminated by you or us. Your rights under these Terms of Use will terminate without our notice if you fail to comply with any term of these Terms of Use. Upon termination, you will stop representing yourself as a registered Member. You must delete or destroy any information or content (including all copies) obtained from our Site. Certain provisions of this Agreement, including, but not limited to, copyrights, indemnity, trademarks, limitation of liability, warranty, and jurisdictional issues will survive the termination of this Agreement.

Unlawful Activity

We reserve the right to investigate complaints or reported violations of this Agreement and to take any action we deem appropriate, including, but not limited to, reporting any suspected unlawful activity to law enforcement officials, regulators, or other third parties and disclosing any information necessary or appropriate to such persons or entities relating to your profile, email addresses, usage history, posted materials, IP addresses, and traffic information.

Payments

You represent and warrant that if you are purchasing something from us, (i) any payment information you supply is true and complete, (ii) charges incurred by you will be honored by your bank or credit card company, (iii) you will pay the charges incurred by you at the posted prices, including any applicable taxes, and (iv) if your initial payment method is dishonored, you will still pay the incurred charges, including any surcharge we may incur due to the dishonored payment.

Refund and Return Policy

To the extent that you purchase any products directly from us, we may refund your purchase price in accordance with the Refund Terms that govern each individual product.

Indemnification

You agree to indemnify EvergreenDimes.com for certain of your acts and omissions. EvergreenDimes.com will notify you promptly of any such claim, loss, liability, or demand, and will provide you with reasonable assistance, at your expense, in defending any such claim, loss, liability, damage, or cost.

Severability and Waiver

If, for whatever reason, a court of competent jurisdiction finds any term or condition in this Agreement to be unenforceable, all other terms and conditions will remain unaffected and in full force and effect. No waiver of any breach of any provision of this Agreement shall constitute a waiver of any prior, concurrent, or subsequent breach of the same or any other provisions hereof, and no waiver shall be effective unless made in writing and signed by an authorized representative of the waiving party.

Sale of Business or Assets

In the event that the Site or substantially all of its assets is sold or disposed of as a going concern, whether by merger, sale of assets or otherwise, or in the event of an insolvency, bankruptcy or receivership, the information we have collected about you may be one of the assets sold or merged in connection with that transaction.

Amendments

EvergreenDimes.com reserves the right to amend this Agreement. Should EvergreenDimes.com seek to make such an amendment and we, in our sole discretion, consider the amendment to be material in nature, we shall:

Should a court of competent jurisdiction rule this Amendment provision invalid, then this Amendment clause shall be terminated as part of this agreement with the agreement between us reverting to the previous set of terms applicable to the Site. All amendments to the Agreement shall be forward looking.
